These terms and conditions (“Glixify Terms”) apply to all diabetes-related medical and diagnostic services and/or other ancillary services and/or any other services provided on the Glixify website, m-web, and mobile application (collectively, the “Platform”), operated by Diverse Retails Private Limited and/or facilitated through its partner company/ies (“Glixify” or “Us” or “Our” or “We”) and availed by users (“You” or “Your” or “User”) of the Platform.

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder, and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Please read the Glixify Terms and Glixify Privacy Policy (collectively, the “Agreement”) carefully before availing Medical Services or accessing or using the Platform. Your use of the Platform and the Medical Services shall signify Your irrevocable acceptance of the Agreement.

1. Information on the Platform

1. Any and all information, material or details available on the Platform (except such information sought from a Registered Medical Practitioner) is not a substitute for medical care or advice and should not be used for self-diagnosis or treatment. You should seek and rely only on medical advice from a Registered Medical Practitioner.
2. The details of the registered medical practitioners of Glixify and/or third party registered medical practitioners (collectively, “Registered Medical Practitioners”) available on the Platform are not a recommendation or endorsement by Glixify regarding their qualifications or services. Appointments booked by You to avail the Medical Services are made voluntarily, at Your option.

2. Relationship between You and Glixify

No doctor-patient relationship is created between You and Glixify, or You and any Registered Medical Practitioner engaged or appointed by Us, merely by booking an appointment or purchasing a diabetes-related health package with Glixify. Such relationship is established only when information pertaining to Your health and other medical records (“Medical Records”) are disclosed by You to the Registered Medical Practitioners during a consultation session.

3. Consent

1. You consent to Glixify sharing (where required), obtaining and storing Medical Records, including details recorded by the Registered Medical Practitioners during consultations and reports generated by Glixify and its Registered Medical Practitioners, and uploading such medical and sensitive information on the Platform.
2. You acknowledge that nurses, paramedical staff, diagnostic service providers, and other persons employed or engaged by Glixify may also have access to the Medical Records, and You consent to such access.
3. You consent to Glixify sharing/notifying Your Medical Records (as monitored by Glixify) with You through SMS and/or other messaging services, including but not limited to WhatsApp.
4. All Medical Records shall be stored, used and disclosed only in the manner stipulated under the Glixify Privacy Policy. You can withdraw Your consent in the manner provided under the Glixify Privacy Policy.

4. Secondary Users

1. The Platform allows, or may in the future allow, You to create a sub-account for family members and friends (“Secondary User”). You may maintain their information, including personal and sensitive information (name, age, date of birth, contact number, email address) and appointments on their behalf, provided You have been duly authorized by such Secondary User.
2. You confirm that:

• The personal information of each Secondary User has been added with their consent, or in case of persons without capacity to contract, in Your capacity as parent or legal guardian; and
• The Secondary User has consented to You receiving their reports and to Glixify storing, possessing, sharing, using, and accessing such information, reports and Medical Records as per these Glixify Terms.

1. Once You provide the contact number of the Secondary User, they will receive notifications/SMS from Us with respect to appointments, Medical Records, etc.

5. Services

Glixify offers the following services to You:

5.A. Medical Services

“Medical Services” include:

1. Health Packages:

• Diabetes package and Pre-diabetes subscription pack.
• These may include devices such as CGM Sensor and/or Glucometer (collectively “Devices”) for checking diabetes and glucose levels, consultations from Registered Medical Practitioners, consultations from coaches for using the Devices and monitoring readings, and/or other diagnostic tests.
• As part of onboarding on these packages, certain mandatory tests will be required and facilitated through third party partners/clinics.

1. You will be required to install the CGM Sensor on Your patch as instructed by the Registered Medical Practitioner or coach. Readings will be sent to the manufacturer of the CGM Sensor or collected through Glixify’s authorized third party partner and then shared with Glixify.
2. You may also be required to take readings from the Glucometer as instructed and record the same on the Platform to help the Medical Practitioner provide better advisory.

5.B. Other Services

1. Glixify Membership Package:

• Includes Devices such as CGM sensor/glucose monitors, consultations from metabolic health coaches and Registered Medical Practitioners, coaching for using Devices and monitoring readings, nutrition plan, and DIY fitness and mindfulness classes.

1. You will be required to install the CGM sensor on Your patch as instructed for monitoring glucose levels and general metabolic health. Readings are sent to the manufacturer of the CGM Sensor or collected by Glixify’s authorized partner and then shared with Glixify.
2. You may choose to participate in lifestyle experiments (“Experiments”) relating to metabolic health (e.g., changes in eating habits, sleep schedule) from the Experiments available on the Platform. Participation is optional and can be discontinued at any time.
3. Glixify does not promote or endorse consumption of any food items or any specific lifestyle. Results of Experiments may vary from person to person and are dependent on multiple factors. No accuracy in results is guaranteed and they do not constitute medical advice.

5.C. Components of Services

Medical Services and Other Services may include:

1. Appointments

• You may book appointments with Registered Medical Practitioners or coaches through the Platform and cancel/reschedule as per Clause 6.
• Appointments are subject to availability.
• Glixify may cancel or reschedule appointments at any time and will use best efforts to inform You in advance but is not responsible for any resulting inconvenience or loss.

1. Tele‑consultation

• Provided only by Registered Medical Practitioners, based on Medical Records provided by You. Errors or incomplete information may lead to inaccurate advice.
• Medical Records shared during tele‑consultations are subject to the Glixify Privacy Policy or relevant third party policies.
• Glixify and Registered Medical Practitioners do not record, save or download copies of consultations.
• Glixify and its personnel shall not be responsible for any loss, cost, expense, inconvenience or suits arising from tele‑consultation services.
• Physical consultation is recommended; tele‑consultation is availed at Your own risk.
• Non-resident users may use tele‑consultation; however, advice should be validated in the country of residence. Glixify is not available to users residing outside India.
• Some tele‑consultations may require follow-up physical consultations and/or diagnostic tests.

1. Diagnostic Services

• You may book diagnostic services via the Platform; Glixify will use best efforts to ensure reports are provided within specified timelines and made available on the Platform.
• Reports will not be handed to third persons, including family, without Your consent, except where required under applicable laws.
• Diagnostic services are facilitated by third party partners; You consent to sharing Your personal data as required for these services.

1. Record Management and Health Monitoring

• Glixify provides infrastructure including Devices (which may or may not be provided) and access to Registered Medical Practitioners for managing Your diabetes lifecycle or monitoring glucose levels and general metabolic health.

1. Offerings

• Tele‑consultations from Registered Medical Practitioners
• Tele‑consultations from Metabolic Health Consultants
• Diagnostic services from/through third party clinics or partners
• Devices through third party partners
• Coaches to train on Device usage

1. Diabetes Reversal

• Under its diabetes packages, Glixify strives for “Diabetes Reversal,” meaning maintaining HbA1c below 6.5% with elimination of glycaemic control medications (except Metformin where used for reasons other than blood sugar control).
• Reversal requires strict adherence to Glixify’s programme and Health Package over 12 months or more, depending on individual circumstances and practitioner recommendation.
• Glixify does not guarantee cure or reversal of diabetes, which depends on multiple behavioural and lifestyle factors and may recur.

1. Use of Third Parties and Medical Records

• Glixify may tie up with third party hospitals/clinics for services. You consent to sharing of Your Medical Records with such entities without further action.
• Glixify is not responsible for pilferage or illegal dissemination of Medical Records by third parties. On request, Glixify will share details of third parties with whom Medical Records have been shared if You email support@glixify.ai.

1. Emergency Cases

• Physical or tele‑consultation appointments may not be advisable in emergencies or critical conditions since appointments cannot be guaranteed. Glixify is not responsible for delays in evaluation or treatment.

1. Device Terms

• Devices provided as part of Medical Services are by third party sellers and governed by their own terms and conditions. Please read such terms prior to use; Your use may constitute consent to those terms.

6. Cancellation/Rescheduling of Appointments

1. You may cancel appointments prior to the appointment, subject to timelines specified on the Platform. No refunds shall be due if appointments are cancelled after the specified timelines.
2. You may reschedule appointments prior to the appointment, subject to availability of time slots/Registered Medical Practitioners and the timelines mentioned on the Platform.

7. Fees, Refunds and Payment Services

1. All payments for Medical Services and/or other Services shall be collected in advance through the Platform. Additional taxes or third-party charges may apply.
2. In case of cancellation by You (as per these Terms), Glixify, or third-party clinics/hospitals/partners, refunds will be initiated within thirty (30) business days from the date of refund request. Refund credit timelines are subject to bank policies.
3. Glixify may use third-party vendors and service providers, including payment gateways, to process payments and manage payment card information, subject to applicable law and the Glixify Privacy Policy.
4. For online payments, You undertake to use valid payment cards, bank details, third party wallets or any other valid mode (“Payment Details”) with authority to use them and sufficient funds or credit. By providing Payment Details, You represent and warrant that:

• You are legally authorized to provide such details;
• You are legally authorized to make payments with such details; and
• Such use does not violate applicable terms or laws.

1. You are responsible for any mobile carrier fees related to payment services. Glixify will use Payment Details as described in its Privacy Policy. You may add, delete or edit Payment Details through the Platform.
2. Two invoices will be generated:

• One from Glixify for consultations by Registered Medical Practitioners or coaches; and
• One from third party partners for Devices.
• Payment receipts and transaction summaries will be available on the Platform and sent to Your registered email address. The Platform collects payment on behalf of third-party partners and settles the same with them.

1. Except as required by law, Glixify is not liable for payments authorized through the Platform using Your Payment Details, including where:

• There are insufficient funds or exceeded limits;
• Incorrect Payment Details are provided;
• Payment card has expired; or
• Circumstances beyond Glixify’s control (e.g., power outages, network issues) prevent transaction execution.

8. Use of Platform

1. Subject to compliance with these Glixify Terms, Glixify grants You a non-exclusive, revocable, limited privilege to access and use the Platform and its Services.
2. You agree to use the Services, Platform and materials only:

• For purposes permitted by these Terms;
• For purposes for which the Platform is intended; and
• In accordance with applicable laws, regulations and generally accepted practices.

1. You agree not to engage in activities that adversely affect use of the Platform by Glixify or other Users.
2. You shall not access or attempt to access the Platform, materials or Services by any means other than the interface provided by Glixify and shall not use deep-links, robots, spiders or similar methods to access, copy, monitor, reproduce or circumvent the Platform or its Content.
3. You acknowledge that by using the Platform or Services, You may be exposed to content from others that You may consider offensive or objectionable, and Glixify disclaims liability for such content.
4. If the Platform allows You to post/upload material, You shall ensure it is not offensive and complies with applicable laws. All material added or posted by You is Your sole responsibility. Glixify may review and delete information/data inconsistent with these Terms.
5. You shall not:

• Defame, abuse, harass, threaten or violate legal rights of others.
• Publish, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material.
• Copy, republish, post, display, translate, transmit, reproduce or distribute content without necessary authorization from Glixify.
• Conduct or forward surveys, contests, pyramid schemes or chain letters.
• Upload or distribute files containing protected material without consent or rights.
• Upload or distribute files containing viruses, corrupted files or other harmful programs.
• Interfere with or disrupt access to the Platform or Services or related servers/networks.
• Attempt unauthorised access to any part or feature of the Platform, systems or networks.
• Probe, scan or test the vulnerability of the Platform or breach security/authentication measures.
• Reverse look-up, trace or seek to trace information on any other User.
• Disrupt or interfere with security of the Platform or linked sites.
• Collect or store data about other Users in connection with prohibited conduct.
• Use any device or software to interfere with proper working of the Platform or any transaction.
• Use the Platform for any unlawful or prohibited purpose or solicit illegal activity.
• Falsify or delete author attributions, legal notices or proprietary designations.
• Violate any applicable laws or regulations or any person’s privacy rights.
• Violate these Glixify Terms.
• Reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information or software obtained from the Platform.

9. Intellectual Property Rights

1. The Platform and its processes, including all text, videos, graphics, user interfaces, images, photos, visual interfaces, sounds, music, artwork and computer code (collectively, the “Content”) and their design, selection, coordination, expression and arrangement are owned and controlled by Glixify and/or its licensors and are protected by copyright, patent, trademark and other intellectual property laws.
2. The trademarks, logos and service marks displayed on the Platform (“Marks”) are the property of Glixify and/or other respective third parties. You are not permitted to use the Marks without prior consent of the respective owner.

10. Disclaimer of Warranties and Liability

1. The Platform and Content are provided on an “as is” basis without warranty of any kind, express, implied, statutory or otherwise, including implied warranties of title, non‑infringement, merchantability or fitness for a particular purpose.
2. Glixify does not warrant that:

• The Platform or Services will meet Your requirements or be uninterrupted, timely, secure or error‑free;
• The results from use of the Platform will be effective, accurate or reliable;
• The quality of the Platform will meet Your expectations; or
• Any errors or defects will be corrected.

1. No advice or information obtained from Glixify or through the Platform shall create any warranty not expressly stated.
2. Glixify will not be liable for any loss incurred as a consequence of unauthorized use of Your account or account information, with or without Your knowledge.
3. While Glixify endeavours to ensure information on the Platform is correct, it makes no representations regarding quality, accuracy or completeness and shall not be responsible for delay or inability to use the Platform or related functionalities.
4. Glixify is not responsible for non‑availability of the Platform due to maintenance or unplanned suspension caused by technical reasons or beyond its control. Any material or data downloaded is at Your sole discretion and risk.

11. Indemnification and Limitation of Liability

1. Glixify shall provide Services professionally and in compliance with applicable law. If despite due care, reports generated by Glixify or its partners are incorrect or incomplete, Glixify’s total liability is limited to conducting a retest of the sample or another appropriate test free of cost, selected at Glixify’s sole discretion.
2. All medico‑legal liability attributable to Registered Medical Practitioners engaged by Glixify shall be the sole responsibility of such practitioners.
3. Under no circumstances shall Glixify or its employees, consultants, agents or officers be liable for any direct, indirect, special, punitive, or consequential damages arising from Your use or inability to use the Services, access Medical Records, or use ancillary Services.
4. Glixify shall not be responsible for delays or failure to meet its obligations where caused directly or indirectly by:

• Your failure to cooperate;
• Your unavailability or unresponsiveness;
• Unavailability of Registered Medical Practitioners;
• Cancellation of appointments;
• Your failure to provide accurate and complete Medical Records;
• Your failure to provide or facilitate proper and timely Medical Records or samples; or
• Any event beyond Glixify’s reasonable control, including force majeure.

12. Violation of Glixify Terms

1. Any violation of these Terms by You constitutes an unlawful and unfair business practice and may cause irreparable harm to Glixify and/or its partners for which monetary damages are inadequate. You consent to Glixify obtaining injunctive or equitable relief deemed necessary in such circumstances.
2. These remedies are in addition to any other remedies available at law or equity.
3. If Glixify or its partner takes legal action against You due to Your violation of these Terms, they shall be entitled to recover all reasonable attorneys’ fees and costs, in addition to any other relief granted.

13. Suspension and Termination

1. These Glixify Terms apply until terminated by You or Glixify.
2. If You object to any Terms or are dissatisfied with the Platform, Your sole recourse is to:

• Close Your Account; and/or
• Stop accessing the Platform.

1. Glixify may delist You, block Your access, or suspend/terminate Your Account if it believes You have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms or acted unethically.
2. These Terms survive indefinitely unless and until Glixify terminates them.
3. If You or Glixify terminates Your use of the Platform, Glixify may delete materials relating to Your use without liability. Transaction details may be preserved for tax or regulatory compliance.
4. You remain liable to pay for any Services already ordered up to the time of termination.

14. Report Abuse and Grievance Redressal

If You come across any abuse or violation of these Terms, become aware of objectionable content on the Platform, or wish to report a grievance, please email: support@glixify.ai.

15. Communications

You expressly agree to receive communications via SMS/WhatsApp and/or e‑mails from Glixify and other third parties relating to the Platform and Services. You may unsubscribe/opt‑out at any time by emailing support@glixify.ai.

16. General Provisions

1. Notice: All notices from Glixify will be served via email to Your registered email address or by general notification on the Platform. Any notice to Glixify should be sent to support@glixify.ai with subject line “Attention: TERMS OF USE”.
2. Assignment: You cannot assign or transfer these Glixify Terms or any rights hereunder to any third party. Glixify’s rights are freely transferable without Your consent.
3. Severability: If any provision of these Terms is found unenforceable, it shall be enforced to the maximum extent permissible to reflect the parties’ intent, and the remainder shall continue in full force and effect.
4. Waiver: Any failure by Glixify to enforce any provision or right shall not constitute a waiver of that provision or right.

17. Exclusion Criteria – Program Eligibility Information

The programme is designed to help many individuals manage their health conditions. However, for safety reasons, the following conditions are excluded and such individuals cannot be accepted:

• Type 1 Diabetes
• Active pregnancy
• Severe cognitive impairment
• Severe eating disorders (Bulimia, Anorexia)
• Heart Failure with reduced ejection fraction (EF < 40%) combined with any kidney issues (eGFR < 90 or elevated Creatinine)
• Advanced diabetic complications (proliferative retinopathy or severe neuropathy with fall risk)
• Post-stroke deficits with cognitive decline (inability to follow protocol; risk of neglect/misuse of meds/food)
• Major limb amputation with cardiac disease (amputation level and healing; EF on Echo < 45; angina history)
• Liver cirrhosis with malnutrition (Child‑Pugh score criteria; Albumin < 3.0; BMI < 18.5)
• Significant vision loss combined with cognitive impairment (vision < 6/60 or blind; MMSE/MOCA limitations)
• Kidney disease (any stage) with BP > 140/90 or cardiac issues; CKD beyond Stage 2
• Severe osteoarthritis/orthopaedic disability with vision or cognitive impairment
• Advanced neurological disorders (e.g., Parkinson’s, Alzheimer’s, Multiple Sclerosis)
• Active foot ulcers; recent hospitalization (within past 2 months) for major illness
• Deep vein thrombosis or use of anticoagulants
• Major surgery within the past 3 months
• Psychiatric illness on antipsychotic medications (e.g., Schizophrenia, BPD, Mania, Multiple personality disorder, DID)
• Unstable angina
• Anaemia and unstable angina/heart disease
• On non‑invasive ventilation or oxygen support
• History of arrhythmia with or without syncope or blackouts

Some cases may require individual review by the medical team. If You have questions about eligibility, please contact the support team.

18. Governing Law and Jurisdiction

These Glixify Terms are governed by the laws of India. In the event of any dispute, the courts in Bangalore shall have exclusive jurisdiction.

19. Refunds and Cancellations (Subscriptions and Bookings)

Glixify subscriptions and bookings are non‑refundable, non‑exchangeable and non‑saleable.

20. Shipping Policy

20.A. Domestic Buyers (Within India)

1. Orders are shipped through registered domestic courier companies and/or speed post only.
2. Orders are shipped within 7 working days or as per the delivery date agreed at order confirmation, subject to courier/postal norms. Glixify is not liable for delay in delivery by courier/post and only guarantees handover to the courier/post within 7 working days from order and payment, or as per agreed delivery date.
3. To ensure safe and fast delivery, Glixify ships through reputed courier partners.
4. If the package appears tampered before delivery, You should reject the package and inform customer care at support@glixify.ai mentioning Your order reference number. Glixify will make best efforts to arrange a replacement at the earliest.
5. Delivery will be made to the registered address of the buyer as per the credit/debit card, unless otherwise specified at the time of order. Glixify is not responsible for any damage to the order while in transit.

20.B. Free Delivery

1. All orders shipped by www.glixify.ai are delivered free of charge throughout India.
2. For shipments outside Chennai (within India), any Octroi charges (if applicable) must be borne by the customer.

20.C. Secured Payment

1. All payments at www.glixify.ai are protected with 128‑bit SSL encryption, providing a high level of security for payment transactions.
2. Razorpay payment gateway is used for all payments for credit/debit cards and net banking.

20.D. 10‑Day Replacement Guarantee

1. Any products purchased from www.glixify.ai carry a 10‑day replacement guarantee against manufacturer defects.

20.E. Genuine Manufacturer Warranty

1. All products sold on www.glixify.ai are 100% genuine and come with manufacturer warranty.
